Associate General Counsel

Position Summary

The Associate General Counsel (AGC) works at the direction of the General Counsel/Chief Operating Officer (GC/COO) to provide advice, review, and oversight of contracts, policies and procedures, to ensure that OTF is operating within the law, and to maximize efficiencies while minimizing risk. The AGC provides advice and counsel on a wide variety of legal matters across the organization to support OTF’s mission and operations, and also acts as a resource for, and provides guidance to, the program team on issues related to contracting and other compliance matters as they relate to OTF’s internal operations and the execution of OTF’s mission.

The Associate General Counsel reports directly to the GC/COO.

Responsibilities

-Implement and manage an effective legal compliance review program to support OTF’s financial award decisions

-Interpret relevant laws, regulations, and policies and provide sound, consistent, and mission-forward legal advice to the GC/COO and other OTF leadership on issues of compliance and other relevant legal matters

-Work with the GC/COO to develop and review organizational policies across all facets of the organization

-Work with finance colleagues to conduct compliance review of project budgets

-Stay up to date on, and proactively suggest improvements to, OTF’s policies and compliance program

-Draft and manage all procurement contracts; advise OTF team on contract and compliance issues as they arise; Independently manage and update contract templates as necessary

-Design and manage OTF’s internal filing system with an eye to relevant compliance obligations and privacy and security requirements.

-Draft internal policy memos and external communications related to legal and compliance issues

-Work with relevant colleagues to design and implement effective and engaging training on legal and compliance matters

-Conduct research and draft memos as necessary on matters of law and regulation

-Act as a thought partner to the GC/COO on legal and compliance matters; propose well-reasoned and creative solutions to legal and compliance challenges

-Proactively identify risk and seek to resolve legal issues timely as they emerge, as directed by the GC/COO

-Provide direct support to the GC/COO on all legal matters as needed, including intellectual property, contracts, data privacy, employment, and governance

The AGC is expected to fulfill other essential duties as discussed and assigned by OTF leadership.

Qualifications

-Discretion and ability to handle confidential issues.

Education and Licenses

-JD from an ABA accredited law school

-Active member, in good standing, in the bar of at least one state in the U.S., with the ability to waive into the D.C. Bar, as needed

Experience and Abilities

We do NOT expect applicants to have all the experience, skills, and knowledge described below. This section contains an illustrative list of what we will be looking at when evaluating applications for this critical role.

-8+ years of experience in an in-house legal role, or law firm

-Familiarity with legal and compliance issues related to non-profit governance and/or government grants

-Demonstrated proficiency with the requirements of 2 CFR 200 and related laws and regulations

-Proven ability to analyze and communicate complex information to a variety of audiences

-Experience providing sound legal advice on nuanced issues to senior leadership

-Demonstrated ability to conduct nuanced risk-benefit analysis and contribute thoughtfully to difficult decision points in a mission-driven organization

-Ability to read, analyze and interpret complex laws and regulations and offer creative, practical, consistent, and sound legal solutions.

-Exceptional interpersonal and oral and written communication skills, ability to represent the organization in all internal and external settings with professionalism.

Compensation

The salary range for this position is $122,000-159,000 commensurate with qualifications and experience. This is a full-time position for employment. OTF seeks exceptional applicants and offers competitive compensation and excellent employer-paid benefits.

Location

Washington, DC, USA preferred, with flexibility for remote work on occasion.
